Rendering legal advisory services to WPE Solutions Limited in connection with its strategic joint venture arrangement with Alon Technical Services Limited, for purpose of joint execution of projects in the oil, gas and other infrastructure-related sectors.
Advised in relation to the acquisition of a Dash 8-Q200 aircraft and an Embraer Legacy 3000 aircraft.
Advising Lagos State Government in conjunction with Norton Rose LLP and Stanbic IBTC Plc in connection with the establishment of the Lekki-Epe International Airport Project. The Project is being progressed as a Public Private Partnership (“PPP”), and will involve the private sector being invited to tender for such aspects of the Design, Build, Operate, and Transfer of the Project as may be considered appropriate. We are currently undertaking detailed legal due diligence on the Project and are liaising with relevant regulatory agencies in this regard.
Advised in relation to the lease of an Augusta Westland AW139 helicopter and a Bell 412EP helicopter to Caverton Helicopters Limited (Lessee) which was guaranteed by Caverton Offshore Support Group Plc (Guarantor); and procuring the regulatory permits and approvals necessary for perfecting Waypoint’s interests in the above stated aircraft in Nigeria.
Advised in connection with the sublease of one (1) Agustawestland AW 139 Helicopter to Court Helicopters Nigeria Limited by Titan Helicopters (PTY) Limited and procuring the requisite approvals, filing, notification and/or registrations at the Nigerian Civil Aviation Authority for the protection of lenders’ interests in the Aircraft.
Advised in connection with a cross border multi-million dollar term loan facility advanced for the purpose of financing the acquisition of an Embraer Legacy 600 aircraft registered in the name of a Mauritius registered company.
Advised on its acquisition of five (5) new Embraer PHENOM® 300 aircraft from Embraer S.A.
Acted as Nigerian Legal Counsel in connection with the structuring of a loan to Hangar 8 Management Limited for the acquisition of a Bombardier Challenger 601-3A-ER aircraft and the sublease of the aircraft to IRS Airlines Limited.
Advised Viking Air Limited and its affiliate, Longview Aviation Asset Management in connection with the finance lease of one (1) DHC-6 Series 400 aircraft to Caverton Helicopters Limited.
Advised in connection with the sale of an Embraer Legacy 600 aircraft to Rivers State of Nigeria.
Advised in connection with a US$13,650,000 term loan facility to be advanced to a Nigerian aviation company to finance the acquisition of a 2006 Dassault Model Falcon 900DX aircraft.
Advised in relation to a proposed multi-million dollar term loan facility for the purpose of financing the acquisition of a new Sikorsky Model S-76D Helicopter from Sikorsky International Operations Inc. by an indigenous airline operator.
